The Small Business Risk Management Checklist: 10 Yearly Checks to Make

We set up our businesses hoping for steady growth and happy employees, but we usually spend half our time dodging invisible administrative bananaskins.

It’s easy to ignore the slow-motion drift of operational risk when you’re just trying to get invoices and employees paid by 5pm on a Friday. A year flies by, your service offerings double, you hire a couple more team members, and suddenly those basic contracts you copied from a Google search in 2022 are completely useless.

1. Auditing Active Client Contracts

We’ve all had those client relationships that start with enthusiastic emails and end with someone passively-aggressively defining what a “reasonable turnaround time” is, which is why auditing your active service agreements is something you can’t afford to skip.

Vague scopes of work and deliverables are lawsuits waiting to happen. You’ll want to verify that your contracts explicitly state what you’ll do, what you won’t do, how many revision rounds are allowed, and how payment disputes are handled. If you don’t have a clear trail of email approvals, you’re basically relying on the client’s good mood to get paid.

2. Reviewing Your General Liability Insurance

The coverage you bought when you were working from a spare bedroom doesn’t cut it once you’ve leased a physical office. If a client visits your new space to discuss a project, trips over an exposed power strip, and breaks their wrist on your polished concrete floor, things get incredibly expensive fast.

That’s why keeping a close eye on your general liability insurance is a non-negotiable yearly chore. You’ve got to make sure your policy limits actually match your physical footprint, your landlord’s latest lease requirements, your actual client volume, and your physical inventory.

3. Documenting Communication and Project Sign-Offs

Relying on verbal agreements or casual phone conversations to greenlight major project changes is a recipe for disaster. What you end up with is a classic he-said-she-said situation where the client claims they never authorized that expensive extra feature.

Simple, timestamped email confirmations or digital signatures that leave absolutely no room for creative interpretation later on.

4. Testing Your Digital Data Backups

You shouldn’t wait for a crisis to find out your automated backup system stopped syncing six months ago because of an expired credit card. We’ve got to actively run recovery drills to ensure we can restore our systems quickly: verifying that your customer databases, financial records, proprietary software, and marketing assets can actually be recovered within hours rather than weeks.

5. Inspecting Physical Premises for Hazards

Walk through your space with a critical eye once a year to spot loose carpet edges, blocked emergency exits, overloaded extension cords, and faulty handrails.

6. Updating Employee Handbooks and Policies

Do your current internal policies still adhere to current state and federal regulations? Think about your policies regarding remote work, overtime pay, family leave, and harassment prevention. Things are always changing and we don’t always notice the moment they do.

Better to check than be peppered with surprises when an HR issue inevitably pops up.

7. Assessing Vendor and Third-Party Contracts

You’re likely dependant on more than just yourself to function and meet deadlines, which means that, if one of your vendors suddenly goes out of business or suffers a massive data breach, everything could stop for you, too. Review your service level agreements sooner than later so that a disaster for them isn’t a disaster for you, too.

8. Analyzing Cash Flow and Tax Allocations

Look your accounts dead in the eye and review receivable cycles and your tax withholding strategies. You want to make sure you’re setting aside enough money for quarterly estimated taxes, emergency reserves, equipment maintenance, and potential slow seasons.

9. Re-evaluating Professional Licenses and Certifications

A professional certification, local business license, or state registration can expire without anyone noticing.

You’ve got to audit your business registrations and not just let them simmer indefinitely. Check local zoning permits, state tax registrations, professional board certifications, industry-specific credentials…anything with your name attached to it in any official capacity.

10. Reviewing Intellectual Property and Trademark Filings

Your brand name, your logo, your proprietary designs, and your custom software code are incredibly valuable assets that deserve active protection and, if you haven’t checked the status of your trademarks lately, you might discover another company is slowly encroaching on your brand identity.

You’ll also want to review your intellectual property clauses with freelance creators to ensure your business actually owns the work you paid for.
